1. Acceptance of Terms
By accessing or using SmallCap Scanner (“the Service”), operated by SmallCap Scanner (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service. We reserve the right to modify these terms at any time, and your continued use of the Service constitutes acceptance of any changes.
2. Description of Service
SmallCap Scanner is a financial data and research platform that provides scoring and analysis of small-cap stocks (companies with a market capitalization generally under $2 billion). The Service aggregates publicly available financial data and applies a proprietary scoring methodology to generate composite scores for informational and educational purposes. The Service is not a broker-dealer, investment adviser, or financial planner, and does not provide personalized investment advice.
3. Account Registration
To access premium features of the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these terms or are used for fraudulent purposes.
4. Subscription and Payment
Access to premium features requires a paid subscription. By subscribing, you authorize us to charge the payment method you provide on a recurring basis (monthly or annually, depending on the plan you select). All fees are stated in U.S. dollars and are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Payment processing is handled by Stripe, Inc., and is subject to Stripe's terms of service.
5. Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to premium features through the end of your current billing period. No partial refunds are provided for unused portions of a billing period.
6. Intellectual Property
All content, data, scoring methodologies, designs, code, text, graphics, and other materials available through the Service are owned by or licensed to SmallCap Scanner and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Service without our prior written consent.
7. Prohibited Uses
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to reverse-engineer, decompile, or disassemble any aspect of the Service; (c) scrape, crawl, or otherwise systematically extract data from the Service by automated means; (d) resell, redistribute, or commercially exploit the Service or its data without our express written permission; (e) interfere with or disrupt the Service or its infrastructure; or (f) impersonate any person or entity or misrepresent your affiliation with any person or entity.
8. Financial Disclaimer
The information provided by SmallCap Scanner is for educational and informational purposes only and does not constitute investment advice, financial advice, trading advice, or any other form of professional advice. Scores, ratings, and analysis are based on historical and publicly available data and should not be interpreted as recommendations to buy, sell, or hold any security. Past performance does not guarantee future results. You should consult a qualified financial professional before making any investment decisions.
9. Limitation of Liability
To the fullest extent permitted by applicable law, SmallCap Scanner and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, whether arising from contract, tort, strict liability, or otherwise, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve months preceding the claim.
10. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any data or scores will be accurate, reliable, or current.
11. Indemnification
You agree to indemnify, defend, and hold harmless SmallCap Scanner and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Service, your violation of these terms, or your violation of any rights of another party.
12. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware.
13. Severability
If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.
